Abstract [sv]

Syfte: Genom vinsthanteringsstrategier kan bolag manipulera redovisningen för att döljaföretagets egentliga finansiella prestationer. Enligt Aktiebolagslagen ska alla noterade aktiebolag införa ett revisionsutskott som granskar finansiell rapportering. Införandet av revisionsutskott genererar dock en övervakningskostnad, så kallad agentkostnad. Dock påvisar tidigare studier att revisionsutskott leder till ökat förtroende hos investerare vilket genererar bättre aktielikviditet och därmed minskar agentkostnaden. Syftet med denna studie är därför att undersöka revisionsutskotts påverkan på agentkostnader och redovisningskvalitet i svenska börsnoterade bolag. Då lagstiftning lämnar utrymme för tolkning kring huruvida revisionsutskott bör utformas har även följande forskningsfrågorframställts. ”Vilka faktorer ligger till grund för vad som är ett revisionsutskott av hög kvalitet?” samt ”Påverkar revisionsutskottets sammansättning agentkostnader och redovisningskvalitet?”

Metod: Genom en tvärsnittsstudie undersöks effekten som revisionsutskott har på bolags agentkostnader och redovisningskvalitet. Med information från bolags årsredovisningar har ca 87 procent av företag noterade på stockholmsbörsens listor stora, medel och småbolag under åren 2011–2022 studerats. Med hjälp av regressionsanalyser kommer variablerna bid-ask spread och aktieprisets volatilitets ge indikationer på bolags agentkostnader, och earnings management på redovisningskvalitet.

Resultat och slutsats: Studiens resultat visar att enbart införandet av ett revisionsutskott inte har någon påverkan på bolags redovisningskvalitet eller agentkostnader. Om däremot sammansättningen av utskottets ledamöter är av god kvalitet påvisar resultatet att det både minskar agentkostnaderna och förbättrar redovisningskvalitén.

Examensarbetes bidrag: Denna studie bidrar med viktiga insikter kring huruvida god bolagsstyrning bidrar till bättre och mer transparant redovisning, vilket leder till en mer stabil aktiemarknad.

Förslag till framtida forskning: Med tanke på att det inte finns någon allmänt vedertagen mått på redovisningskvalitet och agentkostnader skulle framtida forskning kunna inkludera ytterligare metoder/modeller. Det skulle generera högre tillförlitlighet till resultatet men också bidra till hela forskningsområdet. 

Abstract [en]

Aim: Through earnings management strategies, companies can manipulate accounting to hide the company’s actual financial performance. According to the Swedish Companies Act, all listed companies must introduce an audit committee that reviews financial reporting. However, the introduction of an audit committee generates a monitoring cost, also called agency cost. However, previous studies show that audit committees lead to increased confidence among investors, which generates better stock liquidity and thus reduces agency costs. The purpose of this study is therefore to investigate the impact of audit committees on agency costs and accounting quality in Swedish listed companies. As legislation leaves room for interpretation as to how an audit committee should be designed, the following research questions have also been formulated. “What factors are important in order to qualify as a high-quality audit committee?” and “Does the composition of the audit committee affect agency costs and accounting quality?”

Method: The effect of audit committees on companies’ agency costs and accounting quality is examined through a cross-sectional study. With information from companies’ annual reports, approximately 87 percent of companies listed on the Stockholm Stock Exchange’s lists of large, medium and small cap during the years 2011–2022 have been studied. With the help of regression analyses the variables bid-ask spread and stock price volatility will give indications of companies’ agency costs and earnings management on accounting quality.

Results and conclusion: The study’s results show that the mere introduction of an audit committee has no impact on a company’s accounting quality or agency costs. However, if the composition of the committee’s members is of good quality, the results show that it both reduces agency costs and improves accounting quality.

Contribution of the thesis: This study provides important insights into whether good corporate governance contributes to better and more transparent accounting, which leads to a more stable stock market.

Suggestions for future research: Given that there is no generally excepted method to measure accounting quality and agency costs, future research could include additional methods/models. That might generate higher reliability to the result but also contribute to the entire research field.
