Syfte: Syftet med denna studie är att undersöka hur styrelseledamöter och företagsledare resonerar kring vänskapsrelationers betydelse vid beslutsfattandet kring externredovisning, revisorns oberoende och hur dessa relationer uppfattas av externa intressenter. Studien adresserar ett forskningsgap kring den informella dimensionen av bolagsstyrning. Studien söker besvara följande forskningsfrågor: Hur resonerar styrelseledamöter och företagsledare kring vänskapsrelationers betydelse vid beslutsfattandet inom externredovisning? Vilken koppling finns mellan vänskapsband och revisorns oberoende? Samt, hur uppfattas vänskapsband inom företagsstyrning av aktieägare och andra intressenter?

Metod: En kvalitativ metodansats har använts med åtta semistrukturerade intervjuer med personer i ledande befattningar inom sex svenska företag, styrelseledamöter, företagsledare, ekonomichefer och revisorer. Urvalet var målinriktat, och en pilotstudie genomfördes innan huvudintervjuerna. Materialet transkriberades och analyserades med tematisk analys och tolkades med hjälp av agentteorin och stewardship teorin.

Resultat och slutsats: Resultaten visar att vänskapsrelationer både kan stärka samarbete och informationsutbyte men också innebära risker för objektivitet och lojalitetskonflikter. Revisorns oberoende utmanas särskilt i situationer där långvariga relationer skapar socialt tryck. Samtidigt framhåller flera respondenter att goda relationer bygger tillit som underlättar kommunikation och minskar konflikter. Slutsatsen är att vänskapsrelationer har en dubbel roll inom företagsstyrning, och att deras påverkan beror på hur relationerna hanteras i praktiken.

Examensarbetets bidrag: Studien bidrar till den växande forskningen om informella relationers betydelse inom Corporate Governance. Genom att kombinera agentteorin och stewardship teorin belyser arbetet både risker och möjligheter med vänskapsband i professionella sammanhang. Det ger praktisk insikt för styrelser, revisorer och policyaktörer som arbetar med att balansera relationer och oberoende.

Förslag till fortsatt forskning: Vidare studier kan utforska hur vänskapsrelationer påverkar finansiella beslut i börsnoterade företag, eller tillämpa kvantitativa metoder för att analysera samband mellan sociala band och revisionsutfall. Forskning i internationell kontext kan också jämföra hur kulturella normer påverkar gränsen mellan profession och vänskap.

Title: Friendship Ties in Corporate Governance and Financial Reporting

Aim: The purpose of this study is to examine how board members and corporate executives reflect on the role of friendship ties in decision-making related to financial reporting, auditor independence, and how such relationships are perceived by external stakeholders. The study addresses a research gap concerning the informal dimension of corporate governance. The following research questions are explored: How do board members and executives reason about the influence of friendships on financial reporting decisions? What is the connection between friendship ties and auditor independence? How are such relationships perceived by shareholders and other stakeholders?

Method: A qualitative research approach was applied, including eight semi-structured interviews with individuals in senior positions, board members, executives, CFOs, and auditors, from six Swedish companies. A purposive sampling strategy was used, and a pilot study was conducted prior to the main interviews. The material was transcribed and analyzed thematically and interpreted through the lens of agency theory and stewardship theory.

Results and conclusions: The results show that friendship ties can both enhance cooperation and information flow, but also pose risks to objectivity and create loyalty conflicts. Auditor independence is particularly challenged in cases where long-standing relationships exert social pressure. At the same time, several respondents emphasized that strong relationships foster trust, facilitate communication, and reduce conflict. The conclusion is that friendship ties play a dual role in corporate governance, and their influence depends on how the relationships are managed in practice.

Contribution of the thesis: This thesis contributes to the growing body of research on informal relationships in corporate governance. By combining agency theory and stewardship theory, the study highlights both risks and opportunities associated with personal ties in professional contexts. The findings provide practical insights for boards, auditors, and policymakers working to balance personal relationships with professional independence.

Suggestions for future research: Future studies may investigate how friendship ties affect financial decision making in publicly listed companies, or apply quantitative methods to explore correlations between social ties and audit outcomes. Cross cultural studies could also examine how cultural norms influence the boundary between professional and personal relationships.
